Uluslararas\u0131 rekabet ko\u015fullar\u0131nda, bir kurumsal y\u00f6netim ilkesi olan kamuoyunu ayd\u0131nlatma ve \u015feffafl\u0131k konusunda ticari s\u0131r mahiyetinde olan ve \u015firketin rekabet g\u00fcc\u00fcn\u00fc engelleyen bilgileri de dikkate alarak mevzuat\u0131n \u00f6ng\u00f6rd\u00fc\u011f\u00fc veya piyasa fiyat\u0131n\u0131 etkileyebilecek t\u00fcm a\u00e7\u0131klamalar kamuya duyurulmaktad\u0131r.<\/p>\n<p style=\"text-align: justify;\">Bu kapsamda;<\/p>\n<ol style=\"text-align: justify;\">\n<li>Piyasa fiyat\u0131n\u0131 ve yat\u0131r\u0131m kararlar\u0131n\u0131 etkileyebilecek her t\u00fcr \u00f6zel durum a\u00e7\u0131klamas\u0131 en k\u0131sa s\u00fcrede Kamuyu Ayd\u0131nlatma Platformu arac\u0131l\u0131\u011f\u0131yla kamuya iletilir.<\/li>\n<li>\u00d6zel durum a\u00e7\u0131klamas\u0131 Kamuyu Ayd\u0131nlatma Platformu arac\u0131l\u0131\u011f\u0131yla kamuya a\u00e7\u0131klanana kadar, \u015firketin \u0130\u00e7sel Bilgilere Eri\u015fimi Olanlar Listesinde bulunmayan ki\u015filerle bu \u00f6zel duruma ili\u015fkin bilgi payla\u015f\u0131m\u0131 yap\u0131lmaz.<\/li>\n<li>\u00d6zel durum a\u00e7\u0131klamas\u0131n\u0131n yap\u0131ld\u0131\u011f\u0131 g\u00fcn veya en ge\u00e7 bir sonraki i\u015fg\u00fcn\u00fc ilgili a\u00e7\u0131klama \u015firket internet sitesinde ilan edilir ve bu a\u00e7\u0131klama en az be\u015f y\u0131l s\u00fcreyle internet sitesinde tutulur.<\/li>\n<li>\u0130lgili mevzuat h\u00fck\u00fcmlerinde belirlenen s\u00fcreler dahilinde Kamuyu Ayd\u0131nlatma Platformu arac\u0131l\u0131\u011f\u0131yla iletilen finansal raporlar, kamuya iletildikten sonra \u015firket internet sitesinde ilan edilir.<\/li>\n<li>\u015eirket hakk\u0131nda bas\u0131n-yay\u0131n organlar\u0131nda veya internet sitelerinde yer alan haber ve s\u00f6ylentilerin takibi, medya takip sistemiyle, Yat\u0131r\u0131mc\u0131 \u0130li\u015fkileri Birimi taraf\u0131ndan g\u00fcnl\u00fck olarak takip edilir. Bunlara ili\u015fkin a\u00e7\u0131klamalar Kamuyu Ayd\u0131nlatma Platformu arac\u0131l\u0131\u011f\u0131yla kamuya iletilir.<\/li>\n<li>Bas\u0131n-yay\u0131n organlar\u0131nda \u00e7\u0131kan ve a\u00e7\u0131klama yapma y\u00fck\u00fcml\u00fcl\u00fc\u011f\u00fc do\u011furmayan haber ve s\u00f6ylentiler i\u00e7in \u015firket taraf\u0131ndan herhangi bir a\u00e7\u0131klama yap\u0131lmaz.<\/li>\n<li>Belirli bir grup yat\u0131r\u0131mc\u0131 ile yap\u0131lan tan\u0131t\u0131m toplant\u0131lar\u0131, bilgilendirme toplant\u0131lar\u0131 veya bas\u0131n toplant\u0131lar\u0131nda a\u00e7\u0131klanan sunum ve raporlara k\u00fc\u00e7\u00fck yat\u0131r\u0131mc\u0131lar\u0131n ula\u015f\u0131m\u0131 i\u00e7in \u015firket internet sitesi kullan\u0131l\u0131r.<\/li>\n<li>\u015eirket internet sitesi pay sahiplerinin bilgi edinmesi i\u00e7in gerekli t\u00fcm bilgileri i\u00e7erecek \u015fekilde d\u00fczenlenmi\u015f olup, bu bilgiler periyodik olarak g\u00fcncellenir.<\/li>\n<li>Gelece\u011fe y\u00f6nelik bilgiler ve de\u011ferlendirmeler, Y\u00f6netim Kurulu Karar\u0131na veya Y\u00f6netim Kurulu taraf\u0131ndan yetki verilmi\u015f ise yetki verilen ki\u015finin yaz\u0131l\u0131 onay\u0131na ba\u011flanmas\u0131 ko\u015fuluyla ve y\u0131lda en fazla d\u00f6rt defa olmak \u00fczere kamuya a\u00e7\u0131klanabilmektedir. Bu durumda, varsay\u0131mlar ve varsay\u0131mlar\u0131n dayand\u0131\u011f\u0131 veriler de a\u00e7\u0131klan\u0131r. Bilgiler, dayana\u011f\u0131 olmayan, abart\u0131l\u0131 \u00f6ng\u00f6r\u00fcler i\u00e7eremez, yan\u0131lt\u0131c\u0131 olamaz. Bu do\u011frultuda Sermaye Piyasas\u0131 Kurulu d\u00fczenlemeleri ve ilgili di\u011fer mevzuat \u00e7er\u00e7evesinde hesaplanan da\u011f\u0131t\u0131labilir d\u00f6nem k\u00e2r\u0131n\u0131n asgari %20\u2019si nakit ve\/veya bedelsiz pay olarak da\u011f\u0131t\u0131l\u0131r.<\/p>\n<p style=\"text-align: justify;\">K\u00e2r da\u011f\u0131t\u0131m politikas\u0131 ve Sermaye Piyasas\u0131 Kurulu\u2019nun belirledi\u011fi \u00e7er\u00e7evede 1\u2019inci Temett\u00fc ayr\u0131ld\u0131ktan sonra Ana S\u00f6zle\u015fme\u2019nin K\u00e2r Da\u011f\u0131t\u0131m\u0131 ba\u015fl\u0131kl\u0131 36\u2019nc\u0131 maddesi uyar\u0131nca intifa senedi sahiplerine Ana S\u00f6zle\u015fme\u2019de belirtilen oranlarda k\u00e2r pay\u0131 da\u011f\u0131t\u0131l\u0131r.<\/p>\n<p style=\"text-align: justify;\">K\u00e2r pay\u0131, da\u011f\u0131t\u0131m tarihi itibar\u0131yla mevcut paylar\u0131n t\u00fcm\u00fcne, bunlar\u0131n ihra\u00e7 ve iktisap tarihleri dikkate al\u0131nmaks\u0131z\u0131n paylar\u0131 oran\u0131nda e\u015fit olarak tek seferde da\u011f\u0131t\u0131l\u0131r. Nakit \u00f6denecek olan k\u00e2r pay\u0131 da\u011f\u0131t\u0131m\u0131 Genel Kurul toplant\u0131s\u0131n\u0131 takiben en ge\u00e7 bir ay i\u00e7inde yap\u0131lmas\u0131 ama\u00e7lanmakta olup, k\u00e2r da\u011f\u0131t\u0131m tarihine Genel Kurul\u2019da karar verilmektedir.<\/p>\n<p style=\"text-align: justify;\">Genel Kurul\u2019da ilgili mevzuat h\u00fck\u00fcmleri dikkate al\u0131narak, karara ba\u011flanan k\u00e2r da\u011f\u0131t\u0131m\u0131n\u0131n yeri ve zaman\u0131 Kamuyu Ayd\u0131nlatma Platformu arac\u0131l\u0131\u011f\u0131yla ve \u015firketin internet sitesinde ilan edilmesi suretiyle pay sahiplerine duyurulur.<\/p>\n<p style=\"text-align: justify;\">Y\u00f6netim Kurulu, Genel Kurul taraf\u0131ndan yetkilendirilmi\u015f olmak ve Sermaye Piyasas\u0131 d\u00fczenlemelerine uymak kayd\u0131 ile k\u00e2r pay\u0131 avans\u0131 da\u011f\u0131tabilir. Y\u00f6netim Kurulu taraf\u0131ndan onaylanm\u0131\u015ft\u0131r. \u015eirket Y\u00f6netim Kurulu \u00dcyelerine tan\u0131nan her t\u00fcrl\u00fc hak, menfaat ve \u00fccretin \u015fekil ve \u015fartlar\u0131 esas s\u00f6zle\u015fmede tan\u0131mlanm\u0131\u015f olup, her y\u0131l yap\u0131lan Ola\u011fan Genel Kurul toplant\u0131 g\u00fcndemine ayr\u0131 bir madde konularak, Genel Kurul\u2019ca belirlenmekte ve ayr\u0131ca \u015firket internet sitesinde de yay\u0131nlanmaktad\u0131r. \u00dccret Politikas\u0131 ile Y\u00f6netim Kurulu \u00dcyelerinin ve \u0130dari Sorumlulu\u011fu olan y\u00f6neticilerin performanslar\u0131n\u0131n s\u00fcrd\u00fcr\u00fclebilirli\u011fi ve art\u0131r\u0131lmas\u0131 hedeflenmektedir.<\/p>\n<div class=\"clearfix\" style=\"text-align: justify;\"><\/div>\n<p style=\"text-align: justify;\"><strong>2. \u00dccretlendirme Esaslar\u0131<\/strong><\/p>\n<p style=\"text-align: justify;\"><strong>Y\u00f6netim Kurulu \u00dcyelerine Verilen \u00dccretler\u00a0<\/strong><br \/>\nBa\u011f\u0131ms\u0131z \u00dcyeler ve \u0130crada G\u00f6revli Olmayan \u00dcyeler: Ba\u011f\u0131ms\u0131z \u00dcyeler ve \u0130crada G\u00f6revli Olmayan \u00dcyeler her y\u0131l Genel Kurul\u2019da belirlenen tutarda ayl\u0131k huzur hakk\u0131 al\u0131rlar. Bu \u00fccretler Ba\u011f\u0131ms\u0131z Y\u00f6netim Kurulu \u00dcyelerinin ba\u011f\u0131ms\u0131zl\u0131klar\u0131n\u0131 etkilemeyecek d\u00fczeydedir ve \u015firketin performans\u0131na dayal\u0131 olarak belirlenmemektedir.<br \/>\n\u0130crada G\u00f6revli Olan \u00dcyeler: \u0130crada g\u00f6revli olan Y\u00f6netim Kurulu \u00dcyeleri, Ba\u011f\u0131ms\u0131z Y\u00f6netim Kurulu \u00dcyelerine verilen tutarda huzur hakk\u0131 al\u0131rlar bunun yan\u0131 s\u0131ra performansa dayal\u0131 olarak a\u015fa\u011f\u0131da a\u00e7\u0131kland\u0131\u011f\u0131 \u015fekilde \u015firkete sa\u011flad\u0131klar\u0131 katk\u0131lar ve hedeflere ula\u015fma derecelerine g\u00f6re prim de almaktad\u0131rlar.<\/p>\n<p style=\"text-align: justify;\"><strong>\u0130dari Sorumlulu\u011fu Bulunan Y\u00f6neticilere Verilen \u00dccretler\u00a0<\/strong><br \/>\n\u0130dari sorumlulu\u011fu bulunan y\u00f6neticilere yap\u0131lacak \u00f6demeler, g\u00f6rev ve sorumluluklar\u0131n kapsam\u0131na g\u00f6re belirlenen ve her bir pozisyon i\u00e7in gereken \u015fartlar ve deneyimler dikkate al\u0131narak hesaplanan sabit \u00fccretin yan\u0131nda, performansa dayal\u0131 olarak belirlenen prim \u00f6demelerini i\u00e7ermektedir. \u0130cra Kurulu \u00dcyeleri sabit \u00fccret ve primin yan\u0131s\u0131ra ayr\u0131ca huzur hakk\u0131 da al\u0131rlar.<\/p>\n<div class=\"clearfix\" style=\"text-align: justify;\"><\/div>\n<p style=\"text-align: justify;\"><strong>3. Performans ve \u00dccretlendirme Y\u00f6ntemleri\u00a0<\/strong><\/p>\n<p style=\"text-align: justify;\"><strong>Sabit \u00dccret \u00d6demeleri<\/strong>: Y\u00f6netim Kurulu \u00dcyelerine verilecek huzur haklar\u0131 ve idari sorumlulu\u011fu bulunan y\u00f6neticilere verilecek sabit \u00fccretlerin \u015firketin i\u00e7 dengeleri, stratejik hedefleri ve etik de\u011ferleriyle uyumlu olmas\u0131na \u00f6zen g\u00f6sterilir. Sabit \u00fccret g\u00f6rev ve sorumluluklar\u0131n kapsam\u0131na g\u00f6re belirlenir; her bir pozisyon i\u00e7in piyasadaki ekonomik durum, \u015firketin b\u00fcy\u00fckl\u00fc\u011f\u00fc, uzun vadeli hedefleri, hedeflerin ger\u00e7ekle\u015fme dereceleri, ki\u015filerin pozisyon ve deneyimleri dikkate al\u0131narak hesaplan\u0131r. Y\u00f6netim Kurulu \u00fcyeleri ve idari sorumlulu\u011fu bulunan y\u00f6neticilerin \u00fccretlendirilmesinde \u015firketin k\u00e2r ya da gelir gibi k\u0131sa d\u00f6nemli performans\u0131na dayal\u0131 \u00f6deme planlar\u0131 kullan\u0131lmaz.<\/p>\n<p style=\"text-align: justify;\"><strong>Performans \u00d6demeleri (Prim \u00d6demeleri):<\/strong>\u00a0Performansa dayal\u0131 olarak belirlenen prim \u00f6demesinde ise piyasadaki e\u015fde\u011fer pozisyonda \u00e7al\u0131\u015fan ki\u015filer i\u00e7in olu\u015fturulan prim politikalar\u0131, \u015firketin hedeflerine ula\u015fma derecesi ve bireysel performanslar gibi hususlar dikkate al\u0131nmakta, \u00f6zsermayeyi etkilemeyecek d\u00fczeyde olmas\u0131na \u00f6zen g\u00f6sterilmektedir.<\/p>\n<p style=\"text-align: justify;\">\u015eirketimizde bu politika kapsam\u0131nda herhangi bir Y\u00f6netim Kurulu \u00fcyesine ve idari sorumlulu\u011fu bulunan y\u00f6neticiye bor\u00e7 verilmemekte, kredi kulland\u0131r\u0131lmamakta, \u00fc\u00e7\u00fcnc\u00fc bir ki\u015fi arac\u0131l\u0131\u011f\u0131yla \u015fahsi kredi ad\u0131 alt\u0131nda kredi kulland\u0131r\u0131lmamakta veya lehine kefalet gibi teminatlar verilmemektedir. Maddesi ve 4857 say\u0131l\u0131 \u0130\u015f Kanunu h\u00fck\u00fcmleri esas al\u0131narak olu\u015fturulmu\u015ftur<\/p>\n<p style=\"text-align: justify;\">Bu \u00e7er\u00e7evede;<\/p>\n<ul style=\"text-align: justify;\">\n<li>K\u0131dem Tazminat\u0131, 1475 ve 4857 say\u0131l\u0131 \u0130\u015f Kanunlar\u0131nda belirlenmi\u015f olan s\u00fcrelerde k\u0131demi bulunan ve hizmet s\u00f6zle\u015fmesi Kanun\u2019da \u00f6ng\u00f6r\u00fclen durumlardan birisi ile sona eren \u00e7al\u0131\u015fana; \u00e7al\u0131\u015fma s\u00fcresi ve Kanunun \u00f6ng\u00f6rd\u00fc\u011f\u00fc parasal s\u0131n\u0131rlar (tazminat tavan\u0131) dikkate al\u0131narak ya kendisine ya da personelin vefat\u0131 halinde kanuni miras\u00e7\u0131lar\u0131na \u00f6denmektedir.<\/li>\n<li>\u0130hbar s\u00fcresi, 4857 say\u0131l\u0131 \u0130\u015f Kanunu\u2019nun 17.
